Corporate Counsel Q&A: A Companies Act conundrum

Under the new Companies Act, the role of company secretary will disappear in name. However, someone is still going to have to do the job of appointing directors and so forth, so who do you get to do it? Divide the tasks among existing staff or keep on/bring in someone new to be company secretary in all but name?
